Terms and Conditions and End User Licence Agreement

Welcome to Kitchen Hub.

These Terms and Conditions and End User Licence Agreement (Terms) apply to your use of the Kitchen Hub website, the Kitchen Hub Benchtop Planner, connected accounting services, and any related online tools, forms, communications or services provided through Kitchen Hub.

By creating an account, accessing or using Kitchen Hub, or connecting a third-party service, you agree to these Terms. If you use Kitchen Hub for an organisation, you confirm that you are authorised to bind that organisation.

1. About Kitchen Hub

Kitchen Hub is an online platform brand that provides software tools for the kitchen and benchtop industry.

The current product being promoted is Kitchen Hub Benchtop Planner.

Kitchen Hub Benchtop Planner is software designed to help users plan, prepare, organise and submit benchtop-related information for quoting, communication and workflow purposes.

Unless expressly agreed in writing, Kitchen Hub is not a kitchen renovation company, kitchen designer, cabinetmaker, installer, stonemason, builder, appliance retailer, physical product supplier, trade adviser, engineering adviser or building adviser.

For the purposes of these Terms, “Kitchen Hub”, “we”, “us” and “our” means:

Kitchen Hub is operated by Basenine Pty Ltd ABN 44 100 665 332, trading as Kitchen Hub.

The services are currently intended for businesses operating in Australia and for projects located in Australia. Kitchen Hub does not presently offer or promote the services to persons outside Australia. If the services are later made available in another jurisdiction, additional or replacement terms may apply.

2. Current product: Kitchen Hub Benchtop Planner

Kitchen Hub Benchtop Planner is an online software tool that may assist users to:

  • enter benchtop-related measurements and specifications;
  • prepare information for quoting purposes;
  • upload or organise files, drawings, images or project details;
  • create or manage benchtop-related requests;
  • submit information to relevant parties, where that functionality is available;
  • support internal workflow, communication or quote preparation processes.
  • manage customers, jobs, invoices and related workflow records;
  • submit or synchronise information with authorised third-party services, where that functionality is available;

Kitchen Hub Benchtop Planner is a software tool only. It does not replace professional checking, trade assessment, site inspection, technical advice, engineering advice, building advice, accounting advice, tax advice, manufacturing review or installer confirmation.

3. What Kitchen Hub does not currently provide

Unless expressly agreed in writing, Kitchen Hub does not:

  • manufacture benchtops;
  • install benchtops;
  • supply physical benchtops, cabinetry, appliances or building materials;
  • provide kitchen renovation services;
  • provide cabinetry manufacturing;
  • provide building, engineering, architectural or trade advice;
  • inspect, measure, approve or certify site conditions;
  • warrant the suitability of materials, layouts, dimensions or specifications;
  • guarantee quotes, pricing, supply, availability, manufacture or installation;
  • act as a licensed builder, installer, stonemason, cabinetmaker or other trade provider.

Any physical products, manufacturing, installation, trade services, building work, inspections, check measures, certifications or warranties must be provided by appropriately qualified third parties under their own terms.

4. Future tools and modules

Kitchen Hub may later offer additional software tools, modules or workflows for areas such as cabinetry ordering, appliance selection, supplier workflows, manufacturer portals, installer scheduling or related kitchen industry processes.

These possible future modules are mentioned for general positioning only. They should not be taken to mean that those products, services or features are currently available unless specifically stated by Kitchen Hub.

5. Use of the website and software

You agree to use the website and Kitchen Hub Benchtop Planner only for lawful purposes and in a reasonable way.

You must not:

  • submit false, misleading, offensive or unlawful information;
  • interfere with the operation, security or availability of the website or software;
  • attempt to access accounts, systems, databases or information without permission;
  • upload malicious files, viruses, code or harmful material;
  • copy, reproduce, reverse engineer or commercially exploit the software without permission;
  • use the software in a way that may cause loss, damage or disruption to Kitchen Hub or other users.

6. User responsibility for information

You are responsible for checking all information before submitting it, relying on it or sending it to any third party.

This includes, but is not limited to:

  • measurements;
  • dimensions;
  • materials;
  • colours;
  • finishes;
  • slab selections;
  • edge details;
  • cut-outs;
  • joins;
  • overhangs;
  • site conditions;
  • drawings;
  • plans;
  • uploaded files;
  • photos;
  • quote requests;
  • order details;
  • contact details;
  • supplier or manufacturer selections.
  • customer and contact details;
  • quotes, invoices and credit notes;
  • payment, balance and status information;
  • Connected Service selections, mappings and permissions.

Kitchen Hub does not guarantee that information entered into or generated through the software is complete, accurate, suitable or ready for manufacture, installation, ordering or pricing.

Before any physical work, manufacture, supply, installation or ordering occurs, all information should be checked and confirmed by the relevant qualified supplier, manufacturer, installer, tradesperson or professional.

You confirm that you have all rights, notices, consents and authorities required to collect, use, upload, disclose and synchronise information through Kitchen Hub, including personal information relating to customers, staff and other third parties.

7. Measurements, plans and drawings

Any plans, drawings, diagrams, layouts, measurements, calculations or project summaries created through Kitchen Hub Benchtop Planner are for planning, communication and workflow purposes only.

They are not final manufacturing drawings, construction drawings, engineering documents, building approvals, trade instructions or installation instructions unless separately reviewed and approved by an appropriately qualified party.

Kitchen Hub is not responsible for errors, omissions or discrepancies in measurements, plans, uploaded files, drawings, site details or user-submitted information.

8. Quotes and pricing

Kitchen Hub Benchtop Planner may assist users to prepare, calculate, display or submit information for quoting purposes.

Kitchen Hub takes reasonable steps to ensure pricing information and calculations displayed by the platform are accurate and based on the information, pricing rules and supplier data available at the time.

Unless expressly identified as a binding accepted quote, displayed pricing is an estimate or indicative calculation and must be reviewed and confirmed by the relevant manufacturer, supplier or service provider before an order is placed.

Pricing may change or require adjustment because of:

  • updated supplier or manufacturer pricing;
  • product or material availability;
  • changes to selections, dimensions or quantities;
  • measurements, site conditions or manufacturing requirements;
  • taxes, delivery, installation or other project-specific costs;
  • incomplete, inaccurate or outdated source information;
  • data-entry, configuration or calculation errors.

Final pricing, scope, supply, manufacture, installation, warranties and commercial terms must be confirmed by the relevant provider. Nothing in these Terms excludes any right or remedy that cannot lawfully be excluded.

9. Third-party suppliers, manufacturers and service providers

Kitchen Hub may allow information to be prepared for or submitted to third-party suppliers, manufacturers, installers, trades, retailers or service providers.

By submitting a project and selecting a manufacturer, you authorise Kitchen Hub to provide that manufacturer with the project details and contact information reasonably required to prepare a quote, administer the project, process an order and communicate with you about the project. You confirm that you are authorised to provide any personal information included in the submission.

Unless expressly agreed in writing, those third parties are independent from Kitchen Hub.

Kitchen Hub is not responsible for the acts, omissions, advice, quotes, pricing, workmanship, supply, manufacture, installation, delays, warranties, representations or services of third parties.

You should make your own enquiries before engaging any third-party provider.

Where you connect a third-party platform or service, your use of that service is also governed by the provider’s own terms, privacy policy, availability, limits and technical requirements.

Kitchen Hub is not responsible for a provider’s independent data practices, API changes, outages, suspensions, service limitations or continued availability.

10. Connected Services and authorisation

Kitchen Hub may allow you to connect an accounting or other third-party platform (a “Connected Service”) through an authorisation process such as OAuth. A connection permits Kitchen Hub to exchange data with that provider within the permissions you approve.

Depending on the feature, exchanged data may include organisation identifiers, contacts, customers, account codes, products or services, tax codes, quotes, invoices, credit notes, payment records, balances, transaction identifiers and status updates.

Kitchen Hub does not ask for or store your Connected Service account password. The provider supplies access credentials or tokens after you authorise the connection. Kitchen Hub may securely store and refresh those credentials so the connection continues to operate.

You confirm that you are authorised to connect the relevant organisation or company file and to permit Kitchen Hub and the provider to process all affected data, including personal information belonging to customers, staff and other third parties.

You control whether a Connected Service is enabled and, where available, which records are exported, synchronised or monitored. Some synchronisation may occur automatically after configuration, including through webhook notifications.

11. Accounting records, invoices and payment status

Kitchen Hub may create or update customers and invoices in a Connected Service and may receive invoice, payment, balance or status information from that provider.

Kitchen Hub is not an accounting ledger, bank, payment processor, tax agent or financial adviser. The relevant accounting platform and your financial records remain the authoritative systems for accounting, taxation, payment allocation and reconciliation.

Synchronised statuses may be delayed, incomplete or affected by provider availability, configuration, manual edits, reversals, credits, currency, tax treatment or data quality. You must independently reconcile invoices, payments, tax and balances before relying on them.

A status shown as paid, partially paid, unpaid, overdue, voided or similar is workflow information only and is not a representation that cleared funds have been received or that the accounting treatment is correct.

12. Disconnecting a Connected Service

You may disconnect a Connected Service through Kitchen Hub or the provider where that functionality is available. Kitchen Hub will cease new synchronisation when the disconnection is processed, attempt provider-side revocation where supported, and delete or render active access credentials unusable within 24 hours, subject to reasonable technical and provider constraints.

Residual encrypted copies of credentials may remain inaccessible in protected backups until overwritten under Kitchen Hub’s backup schedule, which is currently designed not to exceed 90 days. Credentials retained only in backup are not restored for routine use.

Kitchen Hub may retain non-secret connection audit metadata, such as the provider, company identifier, authorising account, connection and disconnection times and outcomes, for up to 24 months. Audit records must not contain raw access or refresh tokens.

Disconnection does not automatically delete records previously created in either system. Kitchen Hub may retain local invoices, customer records, mappings, audit history, webhook evidence, security logs and backups as reasonably required to provide the service, maintain business records, resolve disputes, prevent fraud and comply with law.

If a connection is removed directly at the provider, you may need to reconnect or notify Kitchen Hub. Features relying on that provider will no longer operate until a valid connection is restored.

13. Accounts and access

Some parts of Kitchen Hub or Kitchen Hub Benchtop Planner may require an account, login or authorised access.

You are responsible for keeping your login details secure and for all activity that occurs under your account.

You must notify us promptly if you become aware of unauthorised access or misuse of your account.

We may suspend, restrict or terminate access if we reasonably believe the software is being misused, these Terms have been breached, or access creates a risk to Kitchen Hub, other users or third parties.

14. Data export and account cancellation

An authorised manufacturer administrator may export available Manufacturer Data while the subscription is active and for 30 days after cancellation takes effect. Post-cancellation access may be limited to read-only access and data export.

Manufacturer Data means data supplied to, created through or maintained within that manufacturer’s Kitchen Hub account, such as customers, contacts, projects, quotes, invoices, payment records, configuration and uploaded files, subject to technical feasibility.

Manufacturer Data does not include access tokens or secrets, Kitchen Hub source code, internal security or fraud-prevention records, proprietary platform analytics, another account’s data, third-party licensed material, or information that Kitchen Hub is legally required or reasonably entitled to withhold.

Exports may be provided in CSV, XLSX, ZIP or another commonly used electronic format selected by Kitchen Hub. Kitchen Hub does not guarantee compatibility with every third-party product.

After the 30-day export period, Kitchen Hub may delete operational copies of Manufacturer Data over the following 30 days. Residual encrypted backup copies may remain inaccessible until overwritten under the backup schedule, currently designed not to exceed 90 days. Kitchen Hub may retain records reasonably required for legal, tax, accounting, fraud-prevention, security, dispute or enforcement purposes.

Cancellation or deletion from Kitchen Hub does not delete information independently held by a Connected Service, manufacturer, supplier or other third party.

15. Uploaded files and user content

You may be able to upload or submit files, drawings, photos, plans, specifications, measurements, notes or other project information.

You confirm that:

  • you have the right to upload or submit the information;
  • the information is accurate to the best of your knowledge;
  • the information does not infringe another person’s rights;
  • the information does not contain unlawful, harmful or malicious material.

You grant Kitchen Hub permission to use, store, process and share that information as reasonably necessary to operate the software, respond to enquiries, manage workflows, provide support, and enable quote-related or project-related communication.

16. Software licence (EULA)

Subject to these Terms, Kitchen Hub grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use Kitchen Hub Benchtop Planner for your own lawful internal business purposes while your account and any applicable subscription remain active.

The software is licensed, not sold. Kitchen Hub and its licensors retain all ownership and intellectual property rights in the software, platform, documentation, branding and related materials.

You must not, except where applicable law expressly permits you to:

  • copy, reproduce, modify, adapt, translate or create derivative works from the software;
  • reverse engineer, decompile, disassemble or attempt to discover source code, algorithms or non-public interfaces;
  • circumvent security, access controls, usage limits or technical restrictions;
  • rent, lease, sell, sublicense, distribute or commercially make the software available to another person;
  • remove or alter proprietary notices; or
  • use the software unlawfully, to infringe another person’s rights, or to build or assist a competing product or service.

Kitchen Hub may suspend or terminate this licence if your account or subscription ends, you materially breach these Terms, your use creates a security or legal risk, or suspension is reasonably required by law. Any suspension or termination remains subject to applicable law and any non-excludable rights.

When this licence ends, you must stop accessing and using the software. Provisions concerning ownership, confidentiality, accrued payment obligations, disclaimers, liability, dispute resolution and any provisions intended by their nature to continue will survive.

17. Intellectual property

All intellectual property in the Kitchen Hub website, Kitchen Hub Benchtop Planner, software, branding, layouts, design, text, graphics, workflows, forms, tools and related materials is owned by or licensed to Kitchen Hub unless otherwise stated.

Except for the limited licence expressly granted in these Terms, no right, title or interest in Kitchen Hub or Kitchen Hub Benchtop Planner is transferred to you.

Third-party components or Connected Services may be subject to separate licence terms imposed by their respective owners.

18. Website and software availability

We aim to provide reliable access to Kitchen Hub and Kitchen Hub Benchtop Planner, but we do not guarantee uninterrupted, error-free or secure access.

The website or software may be affected by maintenance, updates, technical issues, outages, cyber incidents, hosting issues, third-party service interruptions or circumstances beyond our control.

We may update, modify, suspend or discontinue any part of the website or software at any time.

Connected Service interruptions, API changes, credential expiry, provider restrictions and webhook delivery failures may affect integration availability or data currency.

19. No professional advice

Information provided through Kitchen Hub or Kitchen Hub Benchtop Planner is general software-based information only.

It is not building advice, engineering advice, design advice, trade advice, legal advice, accounting advice, tax advice, financial advice or compliance advice.

You should obtain appropriate professional advice before making decisions about building work, renovation work, manufacture, installation, structural matters, compliance, safety, materials or trade services.

20. Limitation of liability

To the maximum extent permitted by law, Kitchen Hub is not liable for any loss, damage, cost, claim or expense arising from:

  • use of, or inability to use, the website or software;
  • errors, omissions or inaccuracies in user-submitted information;
  • incorrect measurements, specifications, drawings, uploaded files or quote requests;
  • reliance on indicative plans, layouts, calculations, pricing or workflow information;
  • third-party quotes, services, products, advice, manufacture, supply or installation;
  • delays, interruptions, outages or data loss;
  • unauthorised access despite reasonable security measures;
  • decisions made based on information prepared or submitted through Kitchen Hub Benchtop Planner.
  • Connected Service failures, restrictions, API changes or outages;
  • delayed, incomplete, duplicated or inaccurate data synchronisation;
  • accounting, tax, payment allocation or reconciliation decisions made using synchronised workflow information.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded under Australian Consumer Law.

21. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict or modify any rights you may have under Australian Consumer Law or any other applicable law.

Where we are permitted to limit our liability, our liability will be limited to the maximum extent permitted by law.

22. Privacy

We handle personal information in accordance with our Privacy Policy.

By using the website or Kitchen Hub Benchtop Planner, or enabling a Connected Service, you acknowledge that we may collect, use, store and disclose information as described in our Privacy Policy.

23. Changes to these Terms

We may update these Terms from time to time.

The updated version will be published on this website with the revised “Last updated” date.

Where changes materially reduce customer rights or expand how information is used, we will take reasonable steps to provide appropriate notice.

Basenine Pty Ltd may assign or transfer these Terms and the associated rights and obligations to a related body corporate or successor that acquires or operates the Kitchen Hub business. Kitchen Hub will provide reasonable notice of a transfer that materially affects users, and the successor must assume responsibility for performing Kitchen Hub’s obligations under these Terms.

Your continued use of the website or software after an update means you accept the updated Terms.

24. Governing law

These Terms are governed by the laws of South Australia, Australia.

You agree that any dispute relating to these Terms, the website or Kitchen Hub Benchtop Planner will be dealt with by the courts of South Australia and, where applicable, the courts of Australia.
